Rewards Program Terms and Conditions

Reward TermsEffective

1. Introduction

These Rewards Program Terms and Conditions ("Terms") govern your participation in any rewards, incentive, loyalty, or promotional program offered by KAST Tech and its affiliates ("KAST", "Company", "we", "us", or "our") through the KAST website and mobile application (the "Platform") (each, a "Rewards Program" and collectively, the "Programs").

These Terms supplement and incorporate by reference the KAST Terms and Conditions of Service (“Platform Terms”), the Affiliate and Referral Program Terms and Conditions, the Privacy Policy, and any Schedule to these Terms (together, the "KAST Agreements"). In the event of any conflict between these Terms and the KAST Agreements, the terms of the KAST Agreements shall prevail to the extent of the conflict.

By participating in any Rewards Program, you ("Participant", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not participate in any Rewards Program.

The specific reward amounts, earn rates, redemption conditions, expiry periods, and any other program-specific parameters are set out on the relevant product pages of the Platform and may be updated from time to time at our sole discretion. Those product-specific terms are incorporated herein by reference.

2. Definitions

In these Terms, the following capitalized terms have the meanings set out below. Terms defined in the Platform Terms and not defined herein carry the meaning given in the Platform Terms.

  1. "AI Card" has the meaning given in paragraph B2.1 of Schedule B.
  2. “AI Card Cashback" means a Cash Reward denominated in USD and calculated under the AI Card Cashback Programme in accordance with Schedule B.
  3. "AI Card Cashback Programme" means the Rewards Program described in Schedule B.
  4. "Cash Reward" means any monetary amount credited to a Participant's KAST account.
  5. "Clawback" means the recovery or reversal by the Company of all or part of a Reward previously credited or paid to a Participant, as further described in Section 8.
  6. "Disputed Transaction" means any transaction that has been subject to a chargeback, dispute, complaint, or investigation by the Participant, a payment network, financial institution, or any regulatory or governmental authority.
  7. "Eligible AI Card Transaction" has the meaning given in Schedule B.
  8. "Eligible Transaction" means a transaction completed by a Participant using a KAST card or otherwise through the Platform that qualifies for a Reward under the applicable Rewards Program, as specified on the Platform from time to time. For avoidance of doubt, transactions classified under an MCC excluded in Section 5.5 or Schedule A shall not be an “Eligible Transaction”. In respect of the AI Card Cashback Programme, only an Eligible AI Card Transaction as defined in Schedule B constitutes an Eligible Transaction.
  9. "Expiry Date" means the date on which a Reward expires and becomes void, as specified in the applicable program terms on the Platform.
  10. "Merchant Whitelist" means the list of active merchant rules published or made available by the Company from time to time, each rule comprising a normalised merchant name and one or more permitted MCCs, as further described in Schedule B.
  11. “Monthly Eligible Spend" has the meaning given in Schedule B.
  12. "Personal Information" has the meaning given in the Privacy Policy.
  13. "Platform" means the KAST website, mobile application, and any related services or tools operated by the Company.
  14. "Points Cessation Date" means the date and time from which Points stop accruing, as notified by the Company in accordance with Section 4.3.
  15. "KAST Points” or “Points" means virtual reward points credited to eligible Participant's KAST account that may be redeemed in accordance with these Terms.
  16. "Qualifying Criteria" means the conditions that must be satisfied by a Participant in order to earn or redeem a Reward, as specified on the Platform.
  17. "Refund" means the full or partial reversal of a payment made by a Participant in connection with a transaction on the Platform, whether initiated by the Participant, the Company, a merchant, or a payment network.
  18. "Reward" means any Cash Reward, Points, or any combination thereof, earned or credited to a Participant under a Rewards Program.
  19. "Rewards Balance" means the aggregate balance maintained by the Company on behalf of a Participant that records all Rewards credited under a Rewards Program. The Rewards Balance is displayed to the Participant as a single balance on the Platform but may internally comprise Rewards in one or more of the following states:
    • Locked — Rewards that have been provisionally credited at the time of a card transaction authorisation but are not yet available for redemption. Rewards may be subject to the Timelock Period. Locked Rewards do not represent available or redeemable funds.
    • Redeemable — Rewards for which the Timelock Period has expired and no additional hold or review applies. The Participant may redeem Redeemable Rewards by initiating a manual redemption request on the Platform, subject to any applicable minimum redemption threshold. Rewards are not automatically redeemed.
    • Redeemed — Rewards that the Participant has successfully redeemed. Redeemed Rewards are denominated in USD and are held within the Rewards Balance as a separate spendable sub-balance. Redeemed Rewards are automatically applied with first priority to offset the Participant's next eligible card transaction; no separate action is required. If the value of the card transaction exceeds the available Redeemed balance, the remainder shall be funded from the Participant's USD Balance Account.

Redeemed Rewards remain part of the Rewards Balance and are subject to the restrictions set out below.

  1. "Rewards Program" means any rewards, incentive, loyalty, cashback, or promotional program made available to Participants through the Platform from time to time.
  2. "USD Balance Account" means the account that holds funds deposited, transferred, or topped up by the Participant, and from which the Participant may make card transactions, withdrawals, or transfers in accordance with the Platform's applicable terms. For the avoidance of doubt, the Main USD Balance does not include any amounts held in the Rewards Balance.
  3. “Timelock Period” means fourteen (14) calendar days from the date of crediting the Reward during which they remain Locked and may not be redeemed, except that for (i) Cash Rewards obtained through eligible card spending, a shorter Timelock Period may apply; and (ii) for certain specific reward distributions, no Timelock Period shall apply, unless otherwise specified on the Platform. For all other types of Rewards, the standard Timelock Period of fourteen (14) calendar days continues to apply, as may be updated from time to time.

3. Eligibility

To be eligible to participate in any Rewards Program, you must:

  1. Be a registered user of the Platform with an active account;
  2. Have successfully completed KAST's identity verification process, as specified by the Company on the Platform from time to time;
  3. Not be a resident of, or otherwise connected to, any jurisdiction in which KAST has prohibited or restricted access to the Platform or its services;
  4. Be legally permitted to receive Rewards (including, where applicable, Cash Rewards) under the laws of your jurisdiction; and
  5. Comply with these Terms and all other KAST Agreements at all times. 3.2 You are not eligible to participate in any Rewards Program if:
  6. Your KAST account has been suspended or terminated for any reason;
  7. You are in breach of any KAST Agreement; or
  8. KAST determines, in its sole discretion, that you have engaged in fraudulent, abusive, or manipulative conduct in connection with any Rewards Program.

4. Reward Types

4.1 Cash Rewards

Cash Rewards are denominated in fiat currency and are credited to the Participant's KAST account or USD Balance Account (as applicable depending on the Rewards Program pursuant to Section 5.6), subject to any applicable minimum payout thresholds, processing times, and verification requirements specified on the Platform. Funds held in the Participant's KAST account may be redeemed to the USD Balance Account in accordance with Section 6, from which the Participant may withdraw or utilize such funds. Cash Rewards may not be transferred directly to any external account from the Participant's KAST account. Cash Rewards may be subject to applicable taxes and withholding obligations. You are solely responsible for all tax obligations arising from Cash Rewards you receive.

4.2 KAST Points or Points

Points are virtual units of account with no intrinsic monetary value or cash value. They do not constitute cash, currency, property, or any form of financial instrument, and do not represent funds held for or credited to any Participant account. Points are recorded as ledger entries for the purpose of tracking Participant activity and determining eligibility for entitlements under the applicable Rewards Program. Points are non-transferable, may not be sold, assigned, or gifted to another person, and have no value or utility outside the Platform. Points may be redeemed within the Platform for eligible memberships, benefits, or other rewards made available by the Company from time to time, in each case in accordance with these Terms and any applicable redemption terms set by the Company from time to time.

4.3 Cessation of Points accrual

The Company may, at its discretion, stop the accrual of Points, in whole or in part. This may apply to all or some Participants, jurisdictions, products or Rewards Programs. The Company will notify Participants through the Platform or by email at least fourteen (14) days before the Points Cessation Date. The Company may give shorter notice, or stop accrual immediately, where required by applicable law, a regulator, a court, the Card Issuer or the card network, or to prevent fraud or abuse. In those cases, the Company will notify Participants as soon as reasonably practicable.

From the Points Cessation Date, no Points will be earned or credited for any transaction, task, campaign or other activity. Only transactions authorised before the Points Cessation Date earn Points, even if they settle afterwards. Stopping Points accrual does not affect your eligibility to earn Cash Rewards under any Rewards Program.

Points validly credited before the Points Cessation Date will not expire or be forfeited because accrual has stopped. They remain subject to these Terms, including Section 5.6(e) and Section 8 (Clawback). You acknowledge that you have no entitlement or expectation that Points will continue to accrue, or that any conversion event, participation arrangement or other benefit will be made available

5. Earning Rewards

5.1 General Earn Conditions

Rewards are earned only in respect of Eligible Transactions that satisfy the applicable Qualifying Criteria at the time the transaction is completed. The Company reserves the right to determine, in its sole discretion, whether any transaction qualifies as an Eligible Transaction.

Rewards are credited to your KAST account provisionally and remain subject to verification, adjustment, and Clawback in accordance with these Terms. A Reward is not considered final until it has cleared any applicable holding period specified on the Platform.

5.2 Limits and Caps

The Company may from time to time impose earn caps, limits, or restrictions on the amount of Rewards that may be earned per transaction, per day, per calendar month, or over any other period, as specified on the Platform. The Company may also limit the total Rewards available under any Rewards Program at any time. Caps applicable to the AI Card Cashback Programme are expressed as a cap on Monthly Eligible Spend rather than on the monetary value of Rewards, as set out in Schedule B.

5.3 No Double Counting

Unless expressly stated otherwise on the Platform, Rewards may not be stacked, combined, or accrued simultaneously under multiple Rewards Programs in respect of the same transaction. The Company will determine in its sole discretion which Rewards Program applies to any given transaction where multiple programs could apply. Notwithstanding the foregoing, where a transaction is made using an AI Card, the AI Card Cashback Programme applies exclusively to that transaction and no Reward of any kind (including membership cashback, Preferred Categories or other cashback multipliers, RPS, referral or affiliate rewards, or KAST Points) is earned in respect of that transaction under any other Rewards Program. AI Card spend does not count towards any qualifying-spend, threshold or cap requirement under any other Rewards Program, including the Affiliate and Referral Program Terms and Conditions.

5.4 Promotional Rewards

From time to time, the Company may offer bonus, promotional, or one-time Rewards subject to specific conditions communicated at the time of the offer. Promotional Rewards may have shorter validity periods, stricter Qualifying Criteria, or additional restrictions. The Company reserves the right to withdraw or modify any promotional offer at any time without prior notice, provided that Rewards already earned in compliance with the offer terms will not be affected.

5.5 Excluded Merchant Category Codes (MCCs)

Certain transactions are not eligible to earn any Rewards (including USD Cashback, Rewards, or Points) regardless of whether they would otherwise satisfy the Qualifying Criteria. Transactions classified under excluded Merchant Category Codes ("MCCs") do not constitute Eligible Transactions for the purpose of these Terms.

The following categories of transactions are excluded from Reward eligibility:

  1. AI Card Cashback. AI Card Cashback is credited to the Participants Rewards Balance in the Locked state upon authorisation of an Eligible AI Card Transaction and transitions to Redeemable upon expiry of the Timelock Period, provided no Clawback event has occurred. AI Card Cashback rates, band thresholds and the Monthly Eligible-Spend Cap are set out in Schedule B and are determined independently of the Participant's membership tier. MCC exclusions under Section 5.5 and Schedule A apply in addition to the Merchant Whitelist condition. Availability is limited to card-enabled countries as designated by the Company on the Platform from time to time.
  2. Cash-equivalent transactions, including but not limited to ATM withdrawals, wire transfers, money orders, traveller's cheques, and quasi-cash transactions;
  3. Financial services and money movement transactions, including but not limited to person-to-person (P2P) transfers, stored-value card loads, digital wallet funding, and brokerage or investment account transactions;
  4. Gambling, betting, and lottery transactions, including any transaction with a merchant primarily engaged in gambling, sports betting, casino operations, or lottery services;
  5. Government payments, including but not limited to tax payments, government fines and penalties, bail and bond payments, and government-administered loan repayments; and
  6. Insurance premium payments, including payments to insurance companies or intermediaries for any class of insurance product.

The foregoing list of excluded categories is illustrative and not exhaustive. The Company reserves the right, at its sole discretion and without prior notice, to exclude additional MCC categories or specific MCCs from Reward eligibility at any time. An up-to-date list of excluded MCCs or MCC categories will be published on the Platform from time to time and is incorporated into these Terms by reference as Schedule ‘A’ (MCC Rewards Restriction List). It is the Participant's responsibility to review the exclusion list on the Platform prior to making transactions for which Reward eligibility is material.

5.6 Reward Crediting by Program Type

The account to which a Reward is credited upon earning depends on the applicable Rewards Program, as set out below. Where a Reward is initially associated with a transaction that is pending settlement, it will first appear in the Rewards section on a view-only basis and will be redeemable to the designated account only upon successful settlement of the underlying transaction, subject to the Timelock Period.

  1. Card USD Cashback. Rewards are credited to the Participant's Rewards Balance in the Locked state instantly upon authorisation of the eligible card transaction. The Reward will transition to Redeemable upon expiry of the Timelock Period, provided no Clawback event has occurred. Cashback rates and monthly spend caps are determined by the Participant's membership tier as published on the Platform. MCC exclusions apply as set out in Section 5.5. Availability is limited to card-enabled countries as designated by the Company on the Platform from time to time.
  2. Cash Bonus Tasks. Rewards are credited to the Participant's Rewards Balance in the Locked state upon verification and completion of the applicable task. Availability is limited to card-enabled countries as designated by the Company.
  3. Referral Rewards. Rewards earned through referral programs are credited to the Participant's KAST account automatically, subject to the terms of the Affiliate and Referral Program Terms and Conditions. The Company reserves the right to update country risk tier classifications and corresponding Reward amounts at any time.
  4. Local Campaigns. Rewards earned through local or regional campaigns may be credited to the Participant's KAST account, USD Balance Account, or both, as specified in the terms of the applicable campaign. Distribution is processed manually by the Company. Each local campaign is subject to its own specific terms and conditions, which will be communicated to Participants at the time of the campaign and require Legal sign-off prior to launch. Campaign-specific terms supplement and, to the extent of any inconsistency, prevail over these Terms in respect of that campaign.
  5. KAST Points. KAST Points are recorded in a ledger maintained by the Company for the purpose of recording Participant activity, Points accruals, and eligibility for benefits under the applicable Rewards Program. KAST Points do not represent funds held for a Participant, do not correspond to any cash or asset amount, and are not held in or credited to the Rewards Balance or the USD Balance Account.

Distribution of Points is automatic when eligible spending occurs under the Participant’s KAST account, until the Points Cessation Date (if any).

The Company reserves the right to modify the crediting destination, distribution method, and regional availability of any Rewards Program at any time, subject to the notice provisions in Section 9.1.

  1. The Company may, at its sole discretion, introduce or initiate a conversion event, participation arrangement or other event in the future which may affect KAST Points. No such event or structure is guaranteed, and its terms, eligibility criteria, availability, and form may vary by jurisdiction. Participation in the KAST Points program does not constitute an investment in the Company or any representation that KAST Points will appreciate in value.

6. Redeeming Rewards

6.1 Redemption Conditions

Only Rewards in the Redeemable state within the Participant's Rewards Balance may be redeemed. Rewards in the Locked state are not available for redemption until the Timelock Period has expired and no additional hold or review applies. The Company reserves the right to amend the duration of the Timelock Period at any time, at its sole discretion, with or without prior notice. The Company may also lock Rewards beyond the Timelock Period where the Participant's account is under fraud, compliance, or risk review.

Upon redemption, the Reward transitions to the Redeemed state within the Rewards Balance and is automatically applied with first priority to offset the Participant's next eligible card transaction.

6.2 Redemption Processing

Redemption requests are subject to verification and may take such processing time as the Company specifies. The Company reserves the right to place a hold on, delay, or decline any redemption request where:

  • There are reasonable grounds to suspect fraud, abuse, or a breach of these Terms;
  • The Participant is located in a country where card services are not enabled;
  • The relevant Rewards are subject to a pending Clawback or investigation;
  • The Participant's KAST account is under review or has been flagged for compliance review; or
  • Any regulatory, legal, or compliance obligation requires the Company to do so.

6.3 Finality of Redemptions

Once a redemption has been processed and the Reward has been disbursed (whether as Cash Reward or otherwise), the redemption is generally final and cannot be reversed, except in the circumstances described in Section 8 (Clawback) or where required by applicable law.

6.4 Expiry

Rewards not redeemed by the applicable Expiry Date are automatically void and forfeited with no compensation payable. The Company will use reasonable efforts to notify Participants of upcoming Expiry Dates through the Platform or by email, but is not obliged to do so. It is the Participant's responsibility to track Expiry Dates on the Platform.

6.5 Rewards in the Rewards Balance

Whether Locked or Redeemable, Rewards may not be transferred to any external account, wallet, or third party, nor withdrawn as cash. The Rewards Balance is the primary source for any Clawback. If the underlying transaction associated with a Reward is subsequently reversed, refunded, charged back, or otherwise cancelled, the Company will automatically deduct the corresponding Reward amount from the Rewards Balance without notice, debiting Locked amounts first and Redeemable amounts thereafter. The Company may also freeze or restrict the entire Rewards Balance at any time where it determines, in its sole discretion, that the Participant's account is subject to a fraud, compliance, or risk review.

7. Refunds and Disputed Transactions

7.1 Effect of Refunds on Rewards

If a Participant initiates or receives a Refund in respect of a transaction for which a Reward was earned, the corresponding Reward (or the pro-rated portion thereof attributable to the refunded amount) will be subject to Clawback in accordance with Section 8. This applies regardless of the reason for the Refund and regardless of whether the Reward has already been redeemed.

For the avoidance of doubt, a Reward is provisionally credited at the time of transaction authorisation. A Refund reverses the underlying transaction and therefore removes the basis on which the Reward was earned.

7.2 Disputed Transactions

If a transaction that generated a Reward becomes a Disputed Transaction, the Company may, in its sole discretion:

  • Place an immediate hold on the corresponding Reward pending resolution of the dispute;
  • Suspend the Participant's ability to earn or redeem Rewards pending investigation; and
  • Initiate a Clawback of the corresponding Reward if the dispute is resolved against the Participant or results in a Refund.

The Company's determination of whether a transaction constitutes a Disputed Transaction, and the outcome of any investigation, shall be final and binding on the Participant, subject to any rights the Participant may have under applicable law.

7.3 Chargebacks

Where a Participant initiates a chargeback with their bank, card network, or payment provider in respect of a transaction for which a Reward was earned, the Company will treat that transaction as a Disputed Transaction and the corresponding Reward will be subject to Clawback. The Company reserves the right to recover the full value of the Reward in addition to any costs incurred in connection with the chargeback process.

7.4 Fraudulent or Unauthorized Transactions

If a Reward was earned in connection with a transaction that is subsequently determined to be fraudulent, unauthorized, or in breach of applicable law, the Reward will be void and subject to immediate Clawback regardless of whether the Participant was involved in the fraud or unauthorized conduct. The Company may also suspend or terminate the Participant's account and refer the matter to relevant authorities.

8. Clawback

8.1 Clawback Triggers

The Company may, at its sole discretion, initiate a Clawback of all or part of any Reward (whether pending, credited, or already redeemed) in any of the following circumstances:

  • Refund: A Refund is initiated or processed in respect of the Eligible Transaction that gave rise to the Reward, in whole or in part;
  • Disputed Transaction: The underlying transaction becomes a Disputed Transaction as described in Section 7;
  • Chargeback: The Participant initiates a chargeback or payment dispute in respect of the relevant transaction;
  • Fraud or Abuse: The Company determines that the Reward was obtained through fraudulent, deceptive, or abusive conduct, including manipulation of the Rewards Program, use of multiple accounts, or exploitation of a system error;
  • Error or Overpayment: The Reward was credited due to a technical error, system fault, or miscalculation, and the amount credited exceeds what the Participant was entitled to;
  • Breach of Terms: The Participant has breached any provision of these Terms or any KAST Agreement in a manner that affects the Participant's entitlement to the Reward; or
  • Regulatory or Legal Requirement: The Company is required by applicable law, regulation, court order, or direction of a governmental or regulatory authority to recover the Reward.
  • Merchant Concentration: The Participant has directed a disproportionate volume of Eligible Transactions toward a single merchant or a limited number of merchants in a manner that the Company reasonably determines, having regard to objective indicators, is inconsistent with ordinary consumer purchasing behaviour and is designed to satisfy Qualifying Criteria or generate Rewards rather than to effect genuine commercial purchases. Before initiating a Clawback on this ground, the Company will notify the Participant of the basis for the proposed Clawback and provide 7 days to respond, except where immediate action is required to prevent further accrual of Rewards;

8.2 Clawback of Cash Rewards

Where a Cash Reward is subject to Clawback:

  • When a Clawback is initiated, the Company will deduct the applicable amount from the Participant's accounts in the following order of priority:
    • Locked — Rewards in the Locked state within the Rewards Balance are removed first;
    • Redeemable — if the Locked balance is insufficient, Rewards in the Redeemable state are deducted next;
    • Main USD Balance — if the Locked and Redeemable balances are insufficient, the shortfall is deducted from the Participant's Main USD Balance, which may result in a negative balance.
  • Where a Clawback causes the Participant's Main USD Balance to fall below zero, the Participant agrees to repay the outstanding negative amount to the Company within fourteen (14) calendar days, whether by depositing sufficient funds into the Main USD Balance or by such other means as the Company may accept. If the Participant fails to repay within this period, the Company may:
    • recover the amount from any future deposits or incoming funds credited to the Main USD Balance;
    • set off the amount against any future Rewards earned under any Rewards Program; and/or
    • pursue recovery through any other available legal means.
  • The Company is not required to follow this priority order where it determines, in its sole discretion, that fraud, abuse, or urgent regulatory circumstances require immediate recovery from any available balance.

8.3 Clawback of Points

Where Points are subject to Clawback:

  • Unspent Points will be deducted from your KAST account;
  • If you have already redeemed the Points for a Reward, the value of that Reward (at the redemption rate applicable at the time of redemption) will be set off against any future Rewards or account balances; and
  • If the redeemed Points have been converted to cash and disbursed, the provisions of Sections 8.2 and 8.3 above shall apply accordingly.

8.4 Partial Clawback

Where a Refund or dispute relates to only part of a transaction, the Company may initiate a proportionate Clawback corresponding to the refunded or disputed portion. The Company will use reasonable endeavours to calculate the applicable Clawback on a pro-rated basis, but reserves the right to Claw Back the full Reward if a partial calculation is not practicable.

8.5 Right of Set-Off

You hereby authorize the Company to set off any amount subject to Clawback against:

  • Any Rewards (in any form) standing to your credit in your KAST account;
  • Any balance held in your KAST account; and
  • Any amounts otherwise owing by the Company to you.

This right of set-off is in addition to, and not in lieu of, any other rights or remedies the Company may have at law or in equity.

8.6 Notice of Clawback

The Company will provide you with notice of any Clawback, typically via the Platform or email, at the time the Clawback is executed or within a reasonable period thereafter. Notwithstanding the foregoing, the Company reserves the right to execute a Clawback without prior notice where it determines, in its sole discretion, that such action is necessary to prevent fraud, comply with legal or regulatory obligations, or mitigate imminent financial risk. The failure to provide notice shall not invalidate the Company’s right to initiate a Clawback or affect the validity of the deduction.

8.7 No Liability for Clawback

The Company shall have no liability to you for any loss, cost, or inconvenience arising from a Clawback carried out in accordance with these Terms, including the cost of repaying a Reward already spent or transferred.

8.8 Manifest Error

Notwithstanding any other provision of these Terms, the Company is not obligated to honor, credit, or permit the redemption of any Reward that a reasonable person would have known, or should have known, was the result of a manifest error, technical glitch, system malfunction, or "bug". In the event of such an error, the Company reserves the right to void the Reward entirely or to adjust the Reward to the amount that would have been credited had the error not occurred. The Company’s determination as to whether a Reward resulted from a manifest error shall be final and binding.

9. Program Modifications and Termination

9.1 Modifications

The Company reserves the right at any time, at its sole discretion and with or without notice (except as required by applicable law), to:

  • Modify, suspend, or discontinue any Rewards Program or any feature thereof;
  • Change the earn rates, redemption rates, Qualifying Criteria, earn caps, or any other terms applicable to any Rewards Program;
  • Change the form in which Rewards are offered (including switching between Cash Rewards, and Points); and
  • Impose new conditions, restrictions, or limitations on earning or redeeming Rewards.

Where the Company makes a material adverse change to an existing Rewards Program, it will provide at least fourteen (14) days' prior notice through the Platform or by email where reasonably practicable. Your continued participation in any Rewards Program following the effective date of a change constitutes your acceptance of the revised terms. If you do not accept changes to a Rewards Program, you should stop participating in such Rewards Program.

9.2 Discontinuation

In the event that a Rewards Program is discontinued, the Company will provide fourteen (14) days’ notice and allow a wind-down period during which Participants may redeem accrued Rewards, subject to applicable conditions. At the end of the wind-down period, any unredeemed Rewards will expire and be forfeited. The Company shall have no further liability in respect of expired Rewards following discontinuation.

This Section 9.2 does not apply to the cessation of Points accrual under Section 4.3. Points credited before the Points Cessation Date will not be forfeited at the end of any wind-down period because accrual has stopped.

9.3 Participant Termination

If your KAST account is suspended or terminated for any reason in accordance with the KAST Agreements, your participation in all Rewards Programs will cease immediately and any accrued Rewards that have not been redeemed will be forfeited without compensation, except as expressly required by applicable law. If termination is due to fraud or a material breach of these Terms, all accrued Rewards (including those already redeemed) will be subject to Clawback.

10. Personal Information and Privacy

Personal Information collected in connection with any of the Rewards Programs is processed in accordance with the Company's Privacy Policy, which is incorporated into these Terms by reference. By participating in any Rewards Program, you consent to the collection, use, and disclosure of your Personal Information as described in the Privacy Policy.

11. Notifications and Communications

You agree to provide the Company with accurate and complete contact information, including a valid email address and phone number. Service notifications from the Company may be sent by email, SMS, or push notification and constitute effective notice for the purposes of these Terms.

You are responsible for monitoring your nominated contact details and notifying the Company promptly of any changes or unauthorized access.

12. Anti-Abuse and Program Integrity

You must not engage in any conduct that is designed to manipulate, exploit, or abuse any Rewards Program, including but not limited to:

  • Creating or using multiple accounts to earn Rewards beyond the intended limits;
  • Exploiting system errors, glitches, or miscalculations to earn Rewards in excess of what you are legitimately entitled to;
  • Coordinating with other users to artificially inflate Rewards;
  • Using bots, scripts, or automated tools to interact with the Platform in connection with any Rewards Program;
  • Initiating Refunds or Disputed Transactions in bad faith for the purpose of retaining Rewards; or
  • Any other conduct that the Company reasonably determines to be abusive, deceptive, or contrary to the spirit of the Rewards Programs.

Without limiting the foregoing, Participants must not direct a disproportionate volume of card spend toward a single merchant or a limited number of merchants for the primary purpose of satisfying Qualifying Criteria or generating Rewards, where such conduct is inconsistent with ordinary consumer purchasing behaviour. The Company may, in its sole discretion, investigate any Participant suspected of abusive conduct. If abuse is confirmed, the Company may: forfeit all accrued Rewards; initiate a Clawback of all Rewards previously earned; suspend or terminate the Participant's account; and pursue any available legal or regulatory remedies.

13. Taxes

You are solely responsible for determining and satisfying all tax obligations (including income tax, capital gains tax, value added tax, goods and services tax, or any other applicable levy) arising from Rewards you earn or redeem. The Company does not provide tax advice and makes no representation as to the tax treatment of Rewards in any jurisdiction.

To the extent required by applicable law, the Company may deduct applicable withholding taxes from Cash Rewards prior to payment. The Company may request that you complete applicable tax forms or provide tax identification information as a condition of Reward payment.

14. No Financial or Investment Advice

Nothing in these Terms, and nothing communicated to you in connection with any Rewards Program, constitutes financial, investment, legal, or tax advice. The Company is not a financial adviser and the Rewards Programs are not investment products. You should seek independent professional advice before making any decisions based on the value of Rewards.

14. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES PROVIDED IN CONNECTION WITH THE REWARD PROGRAMS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE AT ALL TIMES.

16. Liability and Indemnification

16.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any loss arising from fluctuations in value of Rewards;
  • Any loss arising from expiry, forfeiture, or Clawback;
  • Technical errors or system outages;
  • Tax liabilities; or
  • Indirect, incidental, or consequential damages.

16.2 Participant Indemnification

You agree to indemnify, defend, and hold harmless KAST and its affiliates from and against any and all claims, liabilities, damages, or expenses arising out of your breach of these Terms, fraudulent conduct, violation of law, or tax obligations.

17. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be subject to and governed by the laws, jurisdiction, and dispute resolution mechanisms set out in the KAST Terms of Service. This includes any requirements for individual arbitration and waivers of class action proceedings.

18. Force Majeure

The Company will not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, governmental action, power or network failures, cyberattacks, or failures of third-party service providers.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the KAST Agreements and any program-specific terms published on the Platform, constitute the entire agreement between you and the Company in respect of the Rewards Programs.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

19.3 Waiver

No failure or delay by the Company in exercising any right under these Terms constitutes a waiver of that right. Any waiver must be in writing.

19.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms at any time without restriction.

19.5 Language

SCHEDULE ‘B’

AI CARD CASHBACK PROGRAMME

B1. Programme and status

B1.1 The AI Card Cashback Programme is a Rewards Program under these Terms and is a Promotional Reward for the purposes of Section 5.4. It is offered for a limited period and is not intended to remain available indefinitely.

B1.2 This Schedule supplements these Terms. In the event of any inconsistency between this Schedule and the body of these Terms, this Schedule prevails in respect of the AI Card Cashback Programme and any transactions made using an AI Card. The KAST Agreements continue to prevail over both to the extent of any conflict.

B1.3 The AI Card Cashback Programme is available only to Participants who satisfy Section 3 (Eligibility) and only in card-enabled countries designated by the Company on the Platform from time to time. Card creation, fees, funding, security controls, replacement, freeze, unfreeze and termination are governed by the KAST Agreements and the applicable card fee schedule, not by this Schedule.

B1.4 The AI Card Cashback Programme is a discretionary promotional benefit provided and funded solely by KAST. It is not offered, funded or guaranteed by the Card Issuer or the Card Network, and neither has any obligation or liability to you in connection with the Programme.

B2. Definitions

B2.1 "AI Card" means a dedicated KAST Consumer virtual card issued to a Participant for use in the AI Card Cashback Programme, and does not include a Standard virtual card or any other KAST card.

B2.2 "Merchant Whitelist" means the list of active merchant rules designated by the Company from time to time. Each rule comprises a normalised merchant name and one or more permitted MCCs.

B2.3 "Eligible AI Card Transaction" means an approved purchase authorisation made using an AI Card where, at the time the transaction is evaluated by the Company, both (a) the normalised merchant name; and (b) the transaction MCC match the same active rule on the Merchant Whitelist, and the transaction is not otherwise excluded under these Terms (including Section 5.5 and Schedule A). A transaction that satisfies only the merchant-name condition, or only the MCC condition, is not an Eligible AI Card Transaction.

B2.4 "Monthly Eligible Spend" means the cumulative value of a Participant's Eligible AI Card Transactions during a calendar month, aggregated at Participant level across all AI Cards held by that Participant, and adjusted for reversals and Refunds in accordance with B5.

B2.5 "Monthly Eligible-Spend Cap" means the maximum amount of Monthly Eligible Spend that can earn AI Card Cashback in a calendar month, as published on the Platform (currently USD 50,000).

B3. What earns AI Card Cashback

B3.1 AI Card Cashback is earned only on Eligible AI Card Transactions. All other spend on an AI Card earns 0% AI Card Cashback and no other Reward.

B3.2 The Company determines whether a transaction is an Eligible AI Card Transaction using transaction data supplied by the merchant, the acquirer and the card network. Merchant names and MCCs are assigned by merchants, their acquirers and payment facilitators, not by KAST. They may differ between transactions at the same merchant, for example where a merchant uses a different trading name, billing descriptor, payment facilitator or MCC. You acknowledge that the Merchant Whitelist may not capture every name or descriptor a merchant uses, and that a transaction may therefore not match the Merchant Whitelist even where you consider the merchant to be eligible. The Company is not responsible for an incorrect merchant descriptor or MCC assigned by a third party, except to the extent such liability cannot be excluded under applicable law.

B3.3 AI Card Cashback is a Cash Reward denominated in USD. No KAST Points are awarded on any AI Card transaction, regardless of merchant eligibility or the Participant's membership tier.

B4. How AI Card Cashback is calculated

B4.1 AI Card Cashback is calculated progressively on Monthly Eligible Spend at the following rates, unless otherwise published on the Platform:

Monthly Eligible SpendAI Card Cashback Rate
The first USD 1,00010%
Above USD 1,000 up to USD 10,0005%
Above USD 10,000 up to USD 50,0003%
Above USD 50,0000%

B4.2 Each rate applies only to the portion of Monthly Eligible Spend falling within that progressive band. Reaching a higher band does not change the rate applied to spend in a lower band. Where a single transaction crosses a band threshold, the transaction is apportioned across the relevant bands and each portion earns the rate for that band.

B4.3 Monthly Eligible Spend above the Monthly Eligible-Spend Cap earns 0%. Where a single transaction causes Monthly Eligible Spend to exceed the Cap, only the portion up to the Cap earns AI Card Cashback.

B4.4 Monthly Eligible Spend is tracked as a single Participant-level counter shared across all of the Participant's AI Cards. It is not maintained per card. Creating, replacing, freezing, unfreezing or closing an AI Card does not reset or otherwise alter the counter. Spend on a Standard virtual card or any other non-AI Card does not contribute to the counter.

B4.5 The counter resets at 00:00 UTC on the first day of each calendar month, at the same time as the general card cashback counter.

B4.6 Changes to the Participant's membership tier do not affect AI Card Cashback rates, band thresholds, the Monthly Eligible-Spend Cap or accumulated Monthly Eligible Spend.

B4.7 The amount of each Eligible AI Card Transaction is the USD amount debited from your KAST Account for the settlement. For transactions in another currency, this is the USD amount after conversion.

B5. Reversals, Refunds, disputes and Clawback

B5.1 Section 7 (Refunds and Disputed Transactions) and Section 8 (Clawback) apply to AI Card Cashback in full, including the order of deduction in Section 8.2 and the right of set-off in Section 8.6.

B5.2 A reversal or Refund of an Eligible AI Card Transaction reduces the Participant's Monthly Eligible Spend by the corresponding amount and restores headroom below the Monthly Eligible-Spend Cap for the remainder of that calendar month.

B5.3 Restored headroom applies only to subsequent Eligible AI Card Transactions. AI Card Cashback is not awarded retrospectively on spend that earned 0% because the Monthly Eligible-Spend Cap had already been reached at the time of that spend.

B6. Crediting, Timelock and redemption

B6.1 AI Card Cashback is provisionally credited to the Rewards Balance in the Locked state upon authorisation of an Eligible AI Card Transaction and is subject to the Timelock Period applicable to card-spend Cash Rewards as published on the Platform. Sections 5.1, 6 and 6.5 apply without modification.

B7. Changes to the Programme

B7.1 The Company may, in accordance with Section 9.1, change the AI Card Cashback rates, the progressive band thresholds, the Monthly Eligible-Spend Cap, the Merchant Whitelist and its effective dates, and the active or inactive status of the AI Card Cashback Programme, and may suspend or withdraw the Programme.

B7.2 Where a change is a material adverse change to the Programme, the Company will give at least fourteen (14) days' prior notice through the Platform or by email where reasonably practicable.

B7.3 Changes apply prospectively only. A change does not remove AI Card Cashback already validly earned before the effective date of the change, and a change to the Merchant Whitelist does not cause recalculation of AI Card Cashback already issued. Nothing in this paragraph limits Section 8 (Clawback) or Section 8.9 (Manifest Error).

B8. Non-stacking and exclusions

B8.1 For any transaction made using an AI Card: (a) the AI Card Cashback Programme applies exclusively; (b) AI Card Cashback does not stack with membership cashback; (c) the transaction earns no KAST Points; (d) the transaction is excluded from RPS, Preferred Categories and any other cashback multiplier or concurrent promotional programme; and (e) the transaction is excluded from the referral and affiliate programmes and does not count towards any qualifying-spend requirement under those programmes.

B8.2 Preferred Categories continues to include an AI and subscriptions category for non-AI Card spend. AI Card transactions are assessed solely under this Schedule.

B9. Suspension and termination of the Programme

B9.1 The AI Card Cashback Programme is a discretionary promotion and is not a permanent feature of the AI Card or your KAST Account. KAST may suspend or terminate the Programme at any time, in whole or in part, including for particular jurisdictions, merchants, merchant categories or groups of participants.

B9.2 KAST will give you at least 14 days’ notice through the App or by email before the Programme is terminated or suspended. AKST may suspend or terminate the Programme with immediate effect, and will notify you as soon as reasonably practicable, if:

B9.2.1 it is required to do so by applicable law, regulation, a regulator or a court;

B9.2.2 the Card Issuer or Card Network requires it;

B9.2.3 KAST reasonably identifies widespread fraud or abuse of the Programme; or

B9.2.4 a security incident or technical failure makes continued operation of the Programme impracticable.

B9.3 Suspension or termination of the Programme does not affect your AI Card or your KAST Account, which remain governed by the KAST Agreements.
