Pengu Collectible Campaign Terms and Conditions

1. Introduction
These KPENGU SBT Campaign Terms and Conditions (“Terms”) govern the KAST KPENGU SBT Campaign (the “Campaign”), operated by KAST Tech (“KAST”, “we”, “us”) in collaboration with Pudgy Penguins, through the KAST website and mobile application (the “Platform”).
The Campaign is a Local Campaign under Section 5.6 of the KAST Rewards Program Terms and Conditions (the “General Rewards Terms”). These Terms supplement and incorporate by reference the General Rewards Terms, the KAST Terms and Conditions of Service, and the Privacy Policy. Where these Terms conflict with the General Rewards Terms in respect of the Campaign, these Terms prevail. The KAST Terms and Conditions of Service and Privacy Policy prevail over these Terms.
By participating you (“you”, “your”, “Participant”) agree to be bound by these Terms. If you do not agree, do not participate.
2. The Campaign
The Campaign rewards spend on the KAST Pengu Card with a tiered, soulbound collectible token (“SBT”). Historical spend counts. Your cumulative net spend on the Pengu Card determines the highest tier you qualify for, and all lower tiers. You claim via the Platform, KAST verifies your eligibility, and Pudgy Penguins mints the SBT to your wallet within seventy-two (72) hours of the claim data being provided to it. Fulfilment is rolling, not single-batch.
3. Eligibility
To participate you must be a registered KAST user in good standing, have completed KYC, hold an active Pengu Card, not be resident in or connected to any jurisdiction where KAST or the distribution of the SBT is prohibited or restricted, and comply with these Terms and the General Rewards Terms. You are not eligible if your account is suspended, terminated, or under fraud, compliance, or risk review. No opt-in is required. Any eligible user who meets a tier threshold may claim.
4. Tiers and Qualifying Spend
4.1 Cumulative net spend means your total lifetime spend on the Pengu Card on Eligible Transactions (as defined in the General Rewards Terms), less any refunded, reversed, charged-back, or disputed amounts, and excluding transactions on the Excluded MCCs in Section 5.5 of the General Rewards Terms. Backdated spend counts from the date the Pengu Card first became available to users.
4.2 Tiers stack cumulatively. You may claim one SBT per qualifying tier, up to three (3) in total.
4.3 Spend made during the campaign spend window (11 June 2026, 00:00 UTC to 2 July 2026, 23:59 UTC) counts toward your tier in addition to backdated spend. KAST’s determination of your cumulative net spend and tier, based on its records, is final and binding. KAST may adjust thresholds, the spend window, or any claim window with notice on the Platform.
5. Claiming and Minting
5.1 To claim, submit a valid email address and a valid EVM-compatible wallet address on the Platform claim page. SBTs are minted to EVM-compatible wallets only.
5.2 You are solely responsible for providing a correct, valid, compatible wallet address. Because the SBT is soulbound and non-transferable, an SBT minted to an incorrect or inaccessible address cannot be recovered, reissued, moved, or refunded. A claim is not complete and no SBT is owed until it is successfully minted.
5.3 Standard and Black SBTs must be claimed before their claim window closes, after which they are forfeited with no compensation. The Gold claim window is evergreen. KAST does not warrant uninterrupted availability of the claim page or the minting process.
6. The SBT
The SBT is a commemorative collectible. It has no monetary or cash value. It is soulbound and non-transferable, and cannot be sold, transferred, assigned, gifted, redeemed, or moved between wallets. It confers no utility, benefit, access, or future entitlement. It is not a Cash Reward, Digital Token Reward, or Points under the General Rewards Terms, is not part of the Rewards Balance, and is not subject to the timelock, redemption, or expiry mechanics in the General Rewards Terms. The SBT is minted on an EVM-compatible network. KAST is not responsible for blockchain outages, congestion, gas fees, smart-contract behaviour, or other matters outside its reasonable control affecting minting.
7. Anti-Abuse, Refunds, and Clawback
7.1 In addition to Section 10 of the General Rewards Terms, you must not use fake, duplicate, or connected accounts to claim additional SBTs or accumulate spend, manipulate or artificially inflate transactions to reach a threshold, exploit any bug or error, use bots or scripts to claim, or engage in any fraud, abuse, or manipulation.
7.2 Cumulative net spend excludes any refunded, reversed, charged-back, or disputed amount. Where such an event, or suspected prohibited conduct, affects a tier qualification, KAST may, before minting, re-determine your tier and withhold or refuse the claim.
7.3 Because the SBT is soulbound and has no value, it cannot be clawed back under Section 8 of the General Rewards Terms. Where KAST determines a minted SBT was obtained through prohibited conduct, KAST may disregard, flag, or denylist the SBT, and may suspend or terminate your account.
8. Privacy
Personal Information collected for the Campaign, including the email and wallet address you submit, is processed under the Privacy Policy. You consent to KAST sharing your wallet address and necessary claim data with Pudgy Penguins to mint the SBT.
9. General
The General Rewards Terms and the KAST Terms and Conditions of Service govern all other matters relating to the Campaign, including representations and warranties, disclaimers, limitation of liability, indemnification, taxes, suspension and termination, the binding nature of KAST records, modifications, governing law, and dispute resolution. KAST may modify these Terms or suspend, discontinue, or amend the Campaign at any time, with reasonable notice of material changes where practicable. These Terms are made in English; the English version prevails over any translation. If any provision is unenforceable, it is severed and the rest continues in force.
