KAST USD Reserve Account

These USD Reserve Account Supplemental Terms & Conditions (the "Reserve Terms") govern the contractual relationship between you (the "User", "you", or "your") and KAST Tech Reg No. 16223, incorporated in Anjouan, with its registered address at Comoros Boulevard de Coalancanthe, Mutsamudu, Anjouan, Union of Comoros and its affiliates("KAST", "we", "us", or "our"). These Reserve Terms supplement, form an integral part of, and must be read in conjunction with the KAST Platform Terms and Conditions (as updated and amended from time-to-time, the "Platform Terms”). If there is any inconsistency between these Reserve Terms and the Platform Terms, these Reserve Terms will prevail only to the extent of that inconsistency in relation to the Feature, subject always to Applicable Law and any jurisdiction-specific terms that cannot be excluded or varied.

By clicking 'Agree', 'Activate Account', or by utilizing any equivalent electronic check-box or signature functionality within the KAST mobile or web application (the 'Method of Acceptance'), you explicitly acknowledge that you have read, understood, and agreed to be bound by these Reserve Terms in their entirety. If you do not agree to these Reserve Terms, you must not click 'Agree' and you will not be granted access to the Feature.

Important Risk Warning

The USD Reserve Account is not a bank account, savings account, deposit account, certificate of deposit, investment account or guaranteed return product. Balances held in or associated with the USD Reserve Account are not protected by deposit insurance or any equivalent government guarantee scheme. Reserve Rewards are discretionary, variable and not guaranteed. The applicable reward rate may change, including to 0%.

1. Eligibility and Availability

Launch Date. The USD Reserve Account is expected to become available from 3 August 2026, subject to eligibility, jurisdictional availability, operational readiness, and Applicable Law.

Market Restraints. You acknowledge that this Feature may only be available in certain jurisdictions, countries or regions, and the availability of such Feature is subject to the requirements of Applicable Law. 

Eligibility. The Feature is available only to Users who meet KAST’s eligibility criteria and have completed all required verification. KAST may decline, restrict, or withdraw access for any user where reasonably necessary to comply with Applicable Law or partner requirements, or to manage legal, regulatory, fraud, or financial-crime risk. 

Ongoing Eligibility. You must remain eligible to use the Feature at all times. You must promptly notify KAST if your country of residence, citizenship, place of incorporation, regulatory status or other eligibility information changes in a way that may affect your access to the Feature. KAST may require updated identity, residency, source of funds, source of wealth, sanctions, tax residency or other eligibility information at any time.

Restricted Persons. You must not activate or use the Feature if you are a Restricted Person or if your use of the Feature would cause KAST or any KAST affiliate to breach Applicable Law, sanctions requirements, anti-money laundering and counter-terrorism financing requirements, or internal compliance controls. KAST may reject, suspend, restrict or terminate access to the Feature if KAST reasonably determines that you are or may be a Restricted Person.

Regulatory Adjustments. KAST reserves the right to restrict, suspend, modify, or terminate availability of the Feature in any geographic market or specific jurisdiction at any time without prior liability, to comply with Applicable Law, evolving local regulatory frameworks, legislative changes, or enforcement directives. Where such action is taken, KAST will (i) provide affected Users with as much prior notice as is reasonably practicable in the circumstances, (ii) permit affected Users to transfer their principal balance from the USD Reserve Account to their USD Spending Account, and (iii) where immediate action is not legally required, observe the notice periods set out in Section 8.

2. Legal Characterization (Not a Deposit Product)

No Banking Status. KAST operates through one or more regulated or registered entities, as applicable in the relevant jurisdiction and as described in the Platform Terms or applicable jurisdiction-specific terms. KAST is not a bank, credit institution, savings association, or traditional depository organization. The USD Reserve Account does not establish a banker-customer relationship.

Nature of the USD Reserve Account Amount. Funds transferred to your USD Reserve Account is a USD denominated amount set aside for the purpose of funding your use of KAST Services, including Card transactions. It represents an amount that KAST will make available to you for spending in accordance with these Terms. It does not represent a sum that KAST holds for the purpose of paying you a return.

Use of your USD Reserve Account. Your USD Reserve Account may be used only to fund eligible Card transactions and such other permitted functionalities or account actions as KAST may authorize from time to time at its sole discretion. Card transactions follow KAST’s existing Card funding priority, with your USD Reserve Account appended as the final funding source, applied only after all other available funding sources have been exhausted, unless otherwise determined or adjusted by KAST. The USD Reserve Account cannot be used directly for any other movement of funds. All other flows, including deposits, withdrawals, and transfers over third party payment rails must pass through the USD Spending Account. To move value out of your USD Reserve Account other than by Card spend, you must first transfer it to your USD Spending Account. 

Minimum Transfer Amount. The minimum amount for any single transfer into or out of the USD Reserve Account is a configurable amount determined by KAST, which defaults to USD 2.00 unless otherwise specified in the App or your account settings. Any transfer instruction below the then-applicable minimum amount will not be processed.      

No Interest. Your USD Reserve Account does not bear or accrue interest. No part of any Reserve Reward is, or is intended to be, interest, yield, or any other benefit related to the length of time during which you hold a Reserve Balance. 

Absence of Deposit Insurance. The USD Reserve Account is not a savings account, checking account, or certificate of deposit. Funds transferred into the USD Reserve Account are not insured, covered, or protected by any public, private, or government-backed deposit guarantee scheme or insurance entity. This includes, but is not limited to, the Federal Deposit Insurance Corporation (FDIC) in the United States, the Financial Services Compensation Scheme (FSCS) in the United Kingdom, or any European Deposit Insurance Scheme (EDIS) or national competent authority fund within the European Union.

No Fiduciary or Advisory Relationship. Unless expressly required by Applicable Law, KAST does not act as your trustee, fiduciary, investment adviser, broker, dealer, portfolio manager or financial adviser in connection with the Feature. KAST does not provide investment, financial, legal, accounting or tax advice in connection with the Feature.

3. Reward Mechanics and Variable Reserve Rewards

Discretionary Promotional Reward. Reserve Reward is a discretionary, promotional reward offered by KAST as a loyalty benefit. It is offered at KAST’s discretion, is promotional in nature, and may be amended, suspended, or withdrawn in accordance with these Terms. Reserve Reward is not, and must not be represented or relied upon as, interest, yield, a dividend, a coupon, a guaranteed return, or a return on an investment. 

Calculation. For each Reward Period, KAST may credit Reserve Rewards calculated by applying the Reward Rate for your Membership Tier to your Eligible Balances for that Reward Period, up to any applicable cap set out in FAQ. The Reward Rate and the method of calculation for each Membership Tier are set out in the relevant FAQ.      

Substance Over Label. While distributed accounting value is labeled as 'Reserve Rewards' within user-facing interfaces, the underlying programmatic calculation works by reference to KAST’s reward calculation methodology, which may take into account Eligible Balances, Reward Periods, Membership Tier limits, applicable caps, promotional settings, deductions, risk controls and other factors determined by KAST in accordance with these Reserve Terms. Reserve Rewards do not constitute traditional bank interest, annual percentage yield (APY), or a fixed guaranteed return on equity.

Rate Adjustments and Shortfalls. KAST does not absorb financial shortfalls, guarantee capital spreads, or maintain a yield underwriting balance sheet model for this product. KAST may vary, reduce, suspend or discontinue the applicable Reward Rate or Reserve Rewards in accordance with these Reserve Terms.  Any historical rates, promotional rates, or yield indicators displayed inside the app are strictly point-in-time estimations based on 'today’s rate' and possess no binding, forward-looking contractual or predictive value.

Reward Accrual and Crediting. Reserve Rewards accrue only on Eligible Balances during the applicable Reward Period. KAST may determine the timing, method and frequency of reward calculation and crediting, including any applicable minimum balance, maximum eligible balance, cap, rounding convention, cut-off time, pending period, or other operational requirement. Reserve Rewards are not earned, due or payable until actually redeemed to your USD Spending Account.

Corrections and Adjustments. KAST may correct, reverse, withhold, reduce or adjust any Reserve Reward that KAST reasonably determines was credited, displayed or calculated in error, resulted from misuse of the Feature, arose from a transaction reversal or refund, breached these Reserve Terms, or was affected by compliance restriction or technical error.

4. Right to Change

Change at sole discretion. KAST may, in its sole discretion, set, vary, reduce (including to zero), increase, restructure, tier, cap, or change the Reward Rate, the accrual and payment method and frequency, eligibility, minimums and maximums, and any other feature of the Reserve Account or Reserve Rewards, subject to the Notification Period set out in these Reserve Terms. Notwithstanding any change or discontinuance of Reserve Rewards, the balance you set aside in the Reserve Account is not affected at any time and remains transferable to the USD Spending Balance, subject to these Reserve Terms, Applicable Law, compliance review and any applicable account restrictions. Setting aside a portion of your USD Spending Balance into the Reserve Account is a ledger designation only, and it does not change the legal nature of your funds.  

Promotional Rate. KAST may, at its sole discretion, offer an increased or boosted Reward Rate (a “Promotional Rate”) during the period specified in the applicable promotional terms (“Promotional Period”) in place of the standard Reward Rate to eligible Reserve Account balances. The Promotional Rate, the Promotional Period, any eligibility criteria, any minimum or maximum balance thresholds, and any cap on rewards accruing at the Promotional Rate will be disclosed to you before or at the time the Promotional Rate first applies to your Reserve Account, together with the standard Reward Rate that will apply after the Promotional Period. 

Reversion Events. The Promotional Rate ends, and the standard Reward Rate applies automatically, on the earliest of: (i) the end date stated in the promotion; or (ii) the date total funds in all Reserve Account reach US$100,000,000 (the “Cap”), as determined by KAST’s records. Because of the Cap, the Promotional Rate is first-come, first served and may end at any time without a fixed notice period. We will notify you when it ends, and will publish updates as the Cap fills. This early ending is agreed in advance and is not a change to these Reserve Terms.  

Caps and limits. KAST may apply minimum and maximum set-aside amounts, reward caps, per user and aggregate limits, and tiers. 

5. Subscription Tiers and Automatic Rate Downgrades

Tier Synchronization: Your maximum eligible tracking rate for Reserve Rewards is directly coupled with your active KAST Membership Tier. Premium and Private subscription tiers grant access to higher baseline tracking rates and loyalty program configurations, subject to any applicable caps, Eligible Balance requirements, limits, risk controls, and these Reserve Terms.

Lapse Consequences. In the event that your Premium or Private subscription expires, fails to renew due to insufficient subscription funding, lapses, or is downgraded for any operational or disciplinary reason, your applicable tracking rate will automatically and instantly drop to match the baseline standard tier specifications.

Acknowledgment of User Action You explicitly agree that a reduction in your reward rate due to a subscription lapse is an automated, structural consequence of your own billing and account configuration choices. It is characterized legally as a user-initiated change of product status, and you explicitly waive any right to standard regulatory change-of-term notice windows for such events.

Notification Window. KAST will utilize reasonable commercial endeavors to deliver an automated push notification and/or email warning to your registered communication channels at least thirty (30) days prior to a membership lapse that would trigger an automated rate reduction where the lapse is reasonably foreseeable by KAST. KAST may not be able to provide advance notice where the lapse arises from failed billing, chargeback, account suspension, payment reversal, suspected fraud, compliance restriction or another event outside KAST’s reasonable control.

6. Transfers, Withdrawals, and Account Restrictions

Transfers Into the USD Reserve Account. You may request to transfer funds from your USD Spending Account to your USD Reserve Account through the KAST application, subject to your available balance, account status, eligibility, transaction limits, compliance review, operational availability and these Reserve Terms. KAST may reject, delay, suspend or reverse any transfer request where KAST reasonably considers it necessary for compliance, security,  operational, legal, regulatory or risk management reasons.

Transfers Out of the USD Reserve Account. You may request to transfer all or part of your USD Reserve Account balance back to your USD Spending Account by submitting a Withdrawal Request through the KAST application. Withdrawal Requests are subject to Applicable Law, compliance review, operational limitations, account restrictions and any minimum or maximum transfer limits specified by KAST from time to time.

Timing and Processing. KAST will use reasonable commercial endeavours to process transfers and Withdrawal Requests promptly. However, transfers and withdrawals are not guaranteed to be instant or available at all times. Processing may be delayed, suspended or restricted due to compliance screening, fraud prevention, source of funds or source of wealth review, technical outage, payment processing delay, account restriction, security issue, regulatory direction or other circumstances described in these Reserve Terms.

Reward Tracking. Reward tracking starts only when funds are accepted by KAST as an Eligible Balance in the USD Reserve Account. Reward tracking stops when funds cease to be an Eligible Balance, including when a Withdrawal Request is submitted, when funds are transferred to the USD Spending Account, when funds are subject to a hold, restriction or compliance review, or when KAST otherwise determines that the funds are no longer eligible under these Reserve Terms.

Limits and Holds. KAST may apply minimum balances, maximum balances, transaction limits, aggregate holding limits, withdrawal limits, cooling-off periods, pending periods, cut-off times, temporary holds or other controls to the Feature. KAST may vary those limits and controls from time to time in accordance with these Reserve Terms and Applicable Law.

Suspension of Access. KAST may suspend or restrict transfers, withdrawals or access to the Feature where KAST reasonably considers it necessary due to legal, regulatory, compliance, sanctions, fraud, security, technical, operational, account or payment processing risks.

7. Operational Notices and Structural Term Changes

Notice Periods. For modifications initiated entirely by KAST regarding the underlying calculation rules, yield distribution systems, compliance baselines, or operational mechanics of the Feature, KAST will provide prior notification to users before changes take effect where required by Applicable Law and except where immediate action is reasonably necessary under these Reserve Terms.

Regional Mandates and Jurisdiction-Specific Variations.

    - European Union (EU): In strict accordance with regional payment services directives and e-money rules, a minimum of two (2) months' prior written notice will be provided before any material modifications to these terms take effect, unless a shorter period is permitted or required by Applicable Law, including where the change is favorable to Users or is required for security, legal, regulatory or urgent operational reasons.

    - Other Jurisdictions (including US and El Salvador): A minimum notice period of thirty (30) days will apply across all other applicable markets unless local transmission rules mandate different horizons or unless immediate action is reasonably necessary for legal, regulatory, compliance, sanctions, fraud, security or operational reasons.

Emergency Carve-Outs. KAST retains the right to bypass standard notice protocols and enact immediate, instantaneous reductions to the tracked reward rate or suspend the Feature entirely during periods of security incidents, suspected fraud, technical issues, operational disruption, direct regulatory mandates, or other urgent circumstances where immediate action is reasonably required to protect Users, the Feature, or KAST’s platform operations, address security or fraud risk, or comply with administrative orders or Applicable Law.

User Right to Stop Using the Feature. Where KAST makes a material change to these Reserve Terms, you may stop using the Feature and submit a Withdrawal Request, subject to these Reserve Terms, Applicable Law, compliance review, account restrictions and operational requirements. Continued use of the Feature after the effective date of a notified change constitutes acceptance of that change, to the extent permitted by Applicable Law.

8. Anti-Money Laundering (AML) and Financial Security Protocols

Transaction Screening. All internal ledger movements between your USD Spending Account and your USD Reserve Account are intended to be reflected promptly within the app interface, but remain subject to continuous oversight and real-time review by KAST’s automated transaction monitoring systems, fraud prevention scripts, sanctions screening tools, blockchain analytics tools, and compliance operations.

Velocity and Balance Limits. To deter layered financial behavior, structured money laundering activity, sanctions evasion, fraud, terrorist financing, market abuse, misuse of the Feature, or anomalous transactional spikes, KAST reserves the right to enforce transaction caps, aggregate holding limits, velocity restrictions, or temporary account freezes without prior warning or liability.

Enhanced Due Diligence (EDD). Maintaining significant capital concentrations within the USD Reserve Account may systematically trigger automated threshold flags necessitating Enhanced Due Diligence. KAST reserves the right to request comprehensive documentation verifying your legal source of wealth and origin of funds at any time; failure to comply within the specified compliance window will result in an immediate freeze or closure of the Feature and potential reporting to local financial intelligence units.

Sanctions and Restricted Activity. You must not use the Feature in connection with any sanctioned person, sanctioned jurisdiction, prohibited wallet address, mixer, tumbler, privacy tool, darknet market, ransomware activity, fraud scheme, terrorist financing activity, market manipulation, unlawful gambling activity or other activity prohibited by Applicable Law or KAST’s internal risk controls. KAST may reject, freeze, delay, block, reverse or report any transaction, balance or account activity that KAST reasonably determines may involve restricted or suspicious activity.

Blockchain Analytics and Other Screening. KAST may use blockchain analytics, wallet screening, device intelligence, geolocation tools, third-party databases and other compliance tools to assess risk associated with Users, wallets, transactions and balances associated with the Feature. KAST may take action based on the output of those tools where KAST reasonably considers it necessary for compliance, fraud prevention, security or risk management purposes.

Regulatory Reporting. KAST may disclose information, suspend activity, retain records or make reports to regulators, law enforcement agencies, financial intelligence units, sanctions authorities, payment partners, card networks, banking partners or other relevant persons where KAST considers it necessary or appropriate under Applicable Law, contractual obligations or internal compliance controls.

9. Transactional Mechanics and Merchant Card Refunds

Sweep or Fallback Settings. If you enable any sweep, fallback or similar setting that allows funds associated with the USD Reserve Account to be used for card transactions, you authorise KAST to transfer or make available the relevant amount for the applicable transaction, subject to these Reserve Terms, the KAST card terms, settlement rules, compliance controls and operational availability.

Refund Routing Default. If a merchant card draw or card transaction is funded utilizing capital pulled directly from the USD Reserve Account, and that specific transaction is later reversed, canceled, or refunded by a merchant, the resulting refund credit will settle exclusively into your USD Spending Account, not back into your USD Reserve Account ledger.

Reward Accumulation Loss on Float. Reversing funds into the USD Spending Account terminates automated reward tracking for that specific tranche of capital. KAST is not liable for any 'lost rewards', missed tracking periods, or float differentials during the window of time between the initial merchant authorization and the final settlement of the refund into your USD Spending Account. You must manually execute an internal transfer to return the settled funds to the USD Reserve Account to restart the reward tracking cycle.

Merchant and Network Timing. KAST does not control merchant refund timing, card network settlement timing, authorization reversals, chargeback timing or other third-party payment processes. Refunds, reversals and chargebacks may take time to process and may be subject to the KAST Card terms, payment network rules, merchant practices and Applicable Law.

10. Fees and Deductions

Fees and Charges. KAST may charge, deduct or pass through fees, charges, costs or expenses in connection with the Feature, including card network charges, payment processing fees, transfer fees, account service fees operational costs, recovery costs or other charges disclosed in the KAST application or applicable fee schedule from time to time.

Reward Calculation Net of Deductions. Reserve Rewards may be calculated by reference to amounts net of applicable fees, charges, costs, deductions, card network charges, payment processing fees, transfer fees, account service fees and other amounts determined by KAST in accordance with these Reserve Terms.

Changes to Fees. KAST may introduce, vary, waive or remove any fee, charge deduction associated with the Feature by giving notice where required under these Reserve Terms or Applicable Law. Any change will apply from the effective date notified by KAST and will not affect Reserve Rewards already credited, except where a correction, reversal or adjustment is permitted under these Reserve Terms.

Third-Party Costs. You acknowledge that card networks, payment processors, banking partners or other third parties may impose fees, charges, deductions, penalties, slippage, spreads or costs that affect the net amount available for Reserve Rewards, transfer or account adjustments.

11. Limitation of Liability and Indemnification

As-Is Provision: The Feature is provided on an 'as-is' and 'as-available' basis without representations, commitments, or warranties of any kind, whether express, statutory, or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent any such representation, commitment or warranty cannot lawfully be excluded under Applicable Law.

Non-Excludable Rights: Nothing in these Reserve Terms excludes, restricts or modifies any right, remedy, guarantee, warranty, liability or other protection that cannot lawfully be excluded, restricted or modified under Applicable Law, including any applicable consumer protection laws.

Liability Cap: To the maximum extent permitted under Applicable Law, KAST, its corporate affiliates, parents, subsidiaries, directors, officers, or employees shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, goodwill, system downtime, or data loss arising out of or connected to your activation or use of the USD Reserve Account under these Reserve Terms or the KAST Platform Terms.

User Indemnity: You agree to defend, indemnify, and hold harmless KAST, its licensing entities, and its subsidiaries from any third-party claims, losses, liabilities, damages, regulatory fines, or expenses (including reasonable legal fees) stemming directly or indirectly from your violation of these Reserve Terms, misuse of the Feature, breach of Applicable Law, or violation of the rights of any third party.

12. Privacy, Data, and Audit Logs

Privacy Policy. KAST collects, uses, stores and discloses personal information in connection with the Feature in accordance with the KAST Privacy Policy, these Reserve Terms and Applicable Law. You should review the KAST Privacy Policy before activating the Feature.

Feature Data. In connection with the Feature, KAST may collect and process information relating to your identity, account status, residency, device, IP address, geolocation signals, transaction activity, USD Reserve Account balance, USD Spending Account balance, Reserve Rewards, transfer history, Withdrawal Requests, compliance status, source of funds, source of wealth and other information reasonably required to operate, monitor, secure and administer the Feature.

Compliance and Blockchain Analytics. KAST may use personal information, transaction data, blockchain analytics data, wallet screening results, sanctions screening results, fraud indicators, device intelligence and third-party compliance data to assess risk, verify eligibility, detect misuse, comply with Applicable Law, prevent financial crime, investigate suspicious activity and manage KAST’s legal, regulatory, security and operational risk.

Disclosure to Third Parties. KAST may disclose information relating to you or your use of the Feature to KAST affiliates, service providers, Third-Party Providers, custodians, payment partners, banking partners, card networks, blockchain analytics providers, compliance vendors, regulators, law enforcement agencies, financial intelligence units, courts, tribunals and other persons where KAST considers it necessary or appropriate to operate the Feature, comply with Applicable Law, enforce these Reserve Terms, manage risk, or respond to a legal, regulatory or security issue.

Record Keeping. KAST may retain records relating to your activation and use of the Feature, including the Method of Acceptance, timestamps, account status, device identifiers, IP addresses, communications, transaction records, compliance records and audit logs, for as long as reasonably required for legal, regulatory, operational, accounting, dispute resolution, fraud prevention and record-keeping purposes.

Jurisdiction-Specific Privacy Rights. Users in certain jurisdictions may have rights to access, correct, delete, restrict or object to the processing of personal information, or to exercise other privacy rights under Applicable Law. Any such rights may be exercised in accordance with the KAST Privacy Policy and Applicable Law.

13. Electronic Acceptance and Execution

Legally Binding Agreement: You acknowledge, affirm, and agree that your electronic consent provided via the designated Method of Acceptance constitutes a binding, valid digital signature. It carries the exact same legal weight, validity, and enforceability as a handwritten signature on a physical paper contract across all Eligible Jurisdictions.

Pre-activation Requirement: KAST will not activate the USD Reserve Account ledger, track Reserve Rewards, or make the Feature available to you until the Method of Acceptance has been successfully executed, validated, and logged by our platform servers.

Cryptographic Audit Trail: KAST maintains an immutable digital audit log of your acceptance (including network timestamp, device identifier, IP address, and historical account status). This log serves as conclusive legal evidence of your explicit, voluntary opt-in, disclosure acknowledgment, and absolute assent to these Supplemental Terms and the operational risk models described herein.

Electronic Communications: You consent to receive disclosures, notices, confirmations, statements, updates and other communications relating to the Feature electronically, including through the KAST application, email, push notification, in-app message or other electronic method permitted by Applicable Law. You are responsible for keeping your contact details up to date.

Availability of Terms: KAST may provide these Reserve Terms and related disclosures electronically. You should download or retain a copy of these Reserve Terms for your records. KAST may make the current version of these Reserve Terms available through the KAST application or website.

14. Termination, Suspension, and Account Closure

Withdrawal as effective cessation. The Reserve Account does not have a standalone deactivation, closure, or “turn off” control. To cease using the Reserve Account, you may submit a Withdrawal Request. When you withdraw, the withdrawn funds move to your USD Spending Account and become available for spending. Withdrawing the entire balance returns the Reserve Account to a zero balance and constitutes your cessation of use of the Feature; no further action is required. A zero-balance USD Reserve Account remains dormant and available for future use unless and until KAST disables the Feature in your region pursuant to Section 1 of these Reserve Terms. 

KAST Suspension Rights. KAST may suspend, restrict, freeze, disable or limit your access to the Feature where KAST reasonably considers it necessary due to eligibility concerns, breach of these Reserve Terms, suspected fraud, sanctions risk, AML or counter-terrorism financing concerns, security risk, technical issues, regulatory direction, legal requirement, misuse of the Feature, account closure, or any other risk described in these Reserve Terms.

KAST Termination Rights. KAST may terminate your access to the Feature if you breach these Reserve Terms, become ineligible, become a Restricted Person, fail to provide requested information, misuse the Feature, use the Feature in breach of Applicable Law, close your KAST account, or where KAST discontinues the Feature or withdraws it from your jurisdiction.

Effect of Termination. Upon termination or deactivation of the Feature, KAST may cease reward tracking, stop crediting Reserve Rewards, reject new transfers into the USD Reserve Account, and transfer any available balance to your USD Spending Account, subject to compliance review, deductions, fees, holds, chargebacks, reversals, legal requirements and these Reserve Terms.

Accrued but Unpaid Rewards. Reserve Rewards that have accrued but have not been credited before termination or deactivation are not earned, due or payable unless and until actually credited by KAST. KAST may withhold, reduce, cancel or adjust accrued but unpaid Reserve Rewards where permitted under these Reserve Terms, including due to a compliance issue, suspected misuse, error, refund, reversal or breach.

Survival. Any clause that by its nature should survive termination will continue to apply after your access to the Feature ends, including clauses relating to risk disclosures, fees, corrections, privacy, audit logs, compliance, liability, indemnity, governing law, dispute resolution and any outstanding rights or obligations.

15. Complaints, Governing Law, and Dispute Resolution

Complaints. If you have a complaint relating to the Feature, you may contact KAST through the complaints channel specified in the KAST application, KAST Platform Terms, or applicable jurisdiction-specific terms. KAST will handle complaints in accordance with its complaints procedure and Applicable Law.

Jurisdiction-Specific Complaint Rights. Depending on your jurisdiction, you may have rights to refer certain complaints to an external dispute resolution body, regulator, ombudsman, court or other authority. Any such rights will apply to the extent required by Applicable Law and any applicable jurisdiction-specific terms.

Governing Law. These Reserve Terms are governed by the laws specified in the KAST Platform Terms or applicable jurisdiction-specific terms, unless a different governing law is required by Applicable Law or expressly stated in a jurisdiction-specific schedule for the Feature.

Dispute Resolution. Any dispute, claim or controversy arising out of or in connection with these Reserve Terms or the Feature will be resolved in accordance with the dispute resolution provisions in the Platform Terms or applicable jurisdiction-specific terms, subject to any non-excludable rights you may have under Applicable Law.

Mandatory Consumer Rights. Nothing in these Reserve Terms limits any mandatory consumer, payment services, e-money, financial services, privacy, dispute resolution or other rights that cannot lawfully be excluded, restricted or modified under Applicable Law.

No Advice and User Responsibility. KAST does not provide investment, financial, legal, accounting or tax advice in connection with the Feature. You are responsible for making your own decision as to whether to use the Feature and for obtaining any independent advice you consider appropriate. You are also responsible for determining whether any Reserve Rewards, transfers, withdrawals, gains, losses or other activity connected with the Feature have reporting or other consequences for you under Applicable Law.

16. Definitions

In these Reserve Terms, unless the context requires otherwise:

  • “Applicable Law” means all laws, statutes, regulations, rules, directives, guidance, orders, requirements and directions issued by any court, regulatory authority, governmental authority, law enforcement agency or other competent authority applicable to KAST, the User, the Feature or the use of the Feature.
  • “AML/KYC” means anti-money laundering, counter-terrorism financing, sanctions, fraud prevention, know-your-customer, customer due diligence, enhanced due diligence, source of funds, source of wealth and related financial crime compliance requirements, controls and procedures.
  • “App” means the KAST mobile application, web application or other digital interface through which KAST makes the Feature available.
  • “Card” means any payment card or card functionality made available to you by or through KAST under the Platform Terms.
  • Eligible Balance” means the portion of a User’s USD Reserve Account balance that KAST determines is eligible to accrue Reserve Rewards during a Reward Period, after applying any applicable limits, exclusions, holds, pending transactions, compliance restrictions, minimum balance requirements, maximum balance caps, or other criteria specified by KAST from time to time in accordance with these Reserve Terms.
  • “Feature” means the USD Reserve Account functionality within the KAST digital platform enabling reward accumulation, ledger tracking, and fund segregation.
  • “Membership Tier” means the subscription classification assigned to a User account (including but not limited to Standard, Premium, or Private) which dictates platform access privileges and baseline reward caps.
  • Method of Acceptance” has the meaning given in the introductory section of these Reserve Terms.
  • “Reserve Rewards” means the discretionary, variable credits distributed to a User's USD Reserve Account under the performance-based pass-through reward program mechanics outlined herein.“Reserve Balance” means the USD denominated balance designated within your USD Reserve Account from time to time.
  • Restricted Person” means any person, entity, wallet address or account that KAST determines is prohibited or restricted from using the Feature under Applicable Law, sanctions requirements, AML/KYC requirements, internal risk controls, or KAST’s eligibility criteria from time to time.
  • Reward Period” means the period determined by KAST for calculating Reserve Rewards, which may be daily or such other period as KAST may specify in the App or otherwise notify to Users in accordance with these Reserve Terms and Applicable Law.
  • Reward Rate” means the variable and non-guaranteed rate used by KAST to calculate potential Reserve Rewards on Eligible Balances during a Reward Period, subject to the User’s Membership Tier, applicable caps, promotional settings, applicable deductions, risk controls and these Reserve Terms.
  • “USD Reserve Account” means the internal sub-account balance ledger within the KAST application dedicated exclusively to the operations of the Feature.
  • USD Spending Account” means the primary transaction ledger or account within the KAST application used for card transactions, funding, transfers and general payments, as further described in the Platform Terms.
  • USD Spending Balance” means the USD denominated balance available in your USD Spending Account from time to time.
  • Withdrawal Request” means a request submitted by a User through the KAST application to transfer all or part of a USD Reserve Account balance back to the User’s USD Spending Account, subject to these Reserve Terms, Applicable Law, liquidity conditions, compliance review and any applicable operational limitations.
