KAST Business Global Membership Terms

1. Introduction

These KAST Business Global Membership Plan Terms ("Plan Terms") govern the KAST Business Global Membership Plan (the "Business Global Membership Plan’"), an annual paid membership offered by KAST Tech Reg No. 16223, incorporated in Anjouan, Comoros Boulevard de Coalancanthe, Mutsamudu, Anjouan, Union of Comoros and its affiliates ("KAST", "we", "us", "our") to KAST Business customers (each, a "Member", "you", "your").

The Business Global Membership Plan is offered in two phases: an Early Access phase, during which Members are onboarded and serviced manually before the in-app Business Global Membership Plan goes live, and an In-App Membership phase, which begins on the Migration Date (as defined below).

2. Relationship to other agreements

These Plan Terms supplement and incorporate by reference:

  1. the KAST Business Terms and Conditions (the "Business T&Cs");
  2. the KAST Rewards Program Terms and Conditions (the "Rewards T&Cs"); and
  3. the KAST Platform Terms and Conditions of Service and (the “Platform Terms”),

(together, the "KAST Agreements"). For the purposes of these Plan Terms, "Services" means all products, services, features, technologies, and functionalities made available by KAST from time to time via the Platform or through manual account servicing. Capitalised terms used but not defined in these Plan Terms have the meanings given in the KAST Agreements.

Order of precedence. In the event of conflict, the documents apply in the following order to the extent of the conflict: (a) these Plan Terms (only as to matters expressly addressed); (b) the Business T&Cs; (c) the Rewards T&Cs; (d) the Platform Terms.

By accepting these Plan Terms (see clause 3), you confirm that you have read, understood, and agree to be bound by the KAST Agreements.

3. Acceptance and effective date

To participate in the Business Global Membership Plan, the Member must confirm acceptance of these Plan Terms in writing (including by email reply from an Authorised Representative) before any drawdown. KAST will not draw down the first Annual Fee until that written confirmation is recorded.

These Plan Terms shall take effect on the date the first Annual Fee is drawn down from the Member's KAST Business account balance (the "Effective Date"), which shall be conditional on the written acceptance of the Member and completion of Know Your Business verification requirements to the satisfaction of KAST.

4. Early Access

This section governs the Early Access phase and shall be read in combination with clause 5 (Annual Fee) and clause 6 (Cashback).

  1. Key Terms
  1. "Early Access" is the period from the Early Access Start Date until the Migration Date, during which KAST onboards the Member, services the account manually, and accrues cashback off-platform.
  2. "Early Access Start Date" means the Effective Date, being the date the first Annual Fee is drawn down from the Member's KAST Business account balance, following KYB completion by KAST and written acceptance by the Member.
  3. "Migration Date" means the date KAST moves the Member to the in-app Business Global Membership Plan and credits accrued Early Access cashback to the Member's in-app Rewards Balance (as defined in the Rewards T&Cs).
  4. "Target Migration Date" means 31 July 2026, subject to change (earlier or later) as determined by KAST.

4.2 Services available during Early Access

During Early Access, the Member has access to the Services made available by KAST at the time, which may include:

  • same-day global transfers in supported currencies;
  • SWIFT transfers;
  • stablecoin deposits; and
  • a direct support channel with the KAST Business team.

The scope of Services available during Early Access is set out on the Platform and in the Member's onboarding communications, and may be updated by KAST from time to time. KAST does not guarantee feature and functionality parity between the Services during Early Access and those available during the In-App Membership phase.

4.3 Free service period

Despite the Member paying the initial Annual Fee prior to the Migration Date, the paid 12-month annual term shall only begin on the Migration Date for a period of twelve (12) consecutive calendar months (the "Initial Term"), subject to valid termination under clause 9. To clarify, subscription fees shall not apply during Early Access.

4.4 Cashback during Early Access

Cashback on Eligible Transactions (as defined in the Rewards T&Cs) accrues from the Early Access Start Date at the rates and on the terms set out in clause 6. The Member accepts that accrued cashback during Early Access:

  1. is not visible in-app and is not redeemable during Early Access;
  2. is calculated and reconciled by KAST and is available to the Member upon written request;
  3. will be credited as a single lump sum to the Member's in-app USD Rewards Balance on the Migration Date; and
  4. once credited, shall be governed by the Rewards T&Cs in the same manner as cashback earned by other Business Global Membership Plan Members.

4.5 Launch slip — credit extension

If the Migration Date has not occurred by the Target Migration Date, the Initial Term shall be extended automatically by the number of days between the Target Migration Date and the actual Migration Date. This is the Member's sole and exclusive remedy for delay in the public launch of the in-app Business Global Membership Plan. To avoid doubt, the Member is not entitled to any refund or other cash compensation for any delays to the Migration Date.

5. Annual fee

5.1 Price

The Business Global Membership Plan fee is USD $10,000 per year, billed annually in advance (the "Annual Fee"). The Annual Fee is exclusive of taxes, which are addressed in the Business T&Cs.

5.2 Billing and renewal

  • The first Annual Fee is drawn down on the Early Access Start Date.
  • The paid annual term begins on the Migration Date.
  • The Business Global Membership Plan renews automatically for successive twelve-month terms on each anniversary of the Migration Date (each, a "Renewal Term"). The Member may cancel renewal in-app at any time before the renewal date, in which case access and benefits will expire at the end of the current annual term.

5.3 Payment

The Annual Fee is drawn down from the Member's KAST Business account balance. The Member must ensure they hold a sufficient account balance to pay the Annual Fee at each renewal date.

5.4 Non-refundable

Except as expressly set out in clause 10 below, the Annual Fee is non-refundable. The Member retains access to the Services through the paid term.

5.5 Promotional pricing

KAST may offer discounted Annual Fees to certain Members (e.g. via discount codes, written side-letters or other means) in its discretion. Any such discount applies only to the annual term for which it is offered and does not entitle the Member to renewal at the discounted rate, unless agreed to by KAST in its sole discretion.

6. Cashback under the Business Global Membership Plan

6.1 Earn rate

Subject to clause 6.3 below and the Rewards T&Cs:

  • Until 31 December 2026: Members shall earn 3.0% cashback on Eligible Transactions, uncapped and regardless of the geographic region of the Member's registered business.
  • From 1 January 2027: Members shall earn 3.0% cashback on the first USD $1,000,000 (“Transaction Value Threshold”) of Eligible Transactions per annual term, then 2.0% on all Eligible Transactions over the Transaction Value Threshold, in each case uncapped and regardless of the geographic region of the Member's registered business. To confirm, the Transaction Value Threshold resets for each renewal period.

6.2 Pooled Rewards Balance

Cashback earned by all cards linked to the Member's KAST Business account (whether issued to the account owner, admins, or employees) accrues to a single pooled Business Rewards Balance. Visibility and redemption rights within the Member's organisation are governed by the Business T&Cs and the Member's internal role configuration.

6.3 Eligible Transactions, exclusions, and clawback

Eligible transactions, excluded merchant categories, holding periods, clawback, refund handling, and dispute treatment are all governed by the Rewards T&Cs. Without limiting the terms of the Rewards T&Cs, the Member accepts:

  • ATM withdrawals, cash-equivalent transactions, P2P transfers, gambling, government payments, and insurance premiums are not Eligible Transactions; 
  • Refunds, chargebacks, and disputed transactions trigger clawback at the rate originally applied (including any bonus component), as per the Rewards T&Cs; and
  • KAST may freeze or restrict the Business Rewards Balance during fraud, compliance, or risk review, as in accordance with the Rewards T&Cs,

6.4 No KAST Points; no other rewards

The Business Global Membership Plan does not earn KAST Points, referral rewards, or task-based bonus rewards for the Member. Cashback as per clause 6.1 is the only reward type under the Business Global Membership Plan.

6.5 No stacking

The Member accepts that cashback under the Business Global Membership Plan does not stack or compound with any other KAST cashback, rebate, or rewards program in respect of the same transaction.

7. Cards, fees, and limits

  1. Physical cards

Physical cards are expected to launch from October 2026, subject to change as notified to the Member. When available on the Platform, the first ten (10) physical cards issued to the Member in the first annual term are free, and thereafter additional cards are subject to costs at the rates published on the Platform.

7.2 Fee schedule

Card issuance, card quotas, foreign-transaction fees, and all other fees are set out in the KAST Fees and Conditions schedule and in the Business T&Cs, in each case as updated from time to time. KAST may apply different terms to the Business Global Membership Plan and may amend the schedule for Business Members specifically.

8. Eligibility

The Business Global Membership Plan is available to businesses globally, excluding businesses that are:

  1. resident in, organised under the laws of, or otherwise connected to any jurisdiction subject to comprehensive sanctions or restrictions enforced by the United States, the United Nations, the European Union, the United Kingdom, or any other applicable authority;
  2. owned or controlled by, or acting on behalf of, any person or entity on a sanctions or denied-parties list; or
  3. otherwise ineligible to receive the Services under the KAST Agreements or applicable law.

KAST completes KYB and sanctions screening before account activation. KAST may decline or terminate the Member's participation in the Business Global Membership Plan at any time if eligibility cannot be established or is later found to be incorrect.

9. Termination & Suspension

9.1 Termination by Member

During Early Access

The Member may terminate at any time before the Migration Date by written notice to KAST. The Member acknowledges and accepts that on termination:

  • access to the Business Global Membership Plan is downgraded to the standard KAST Business account (no membership benefits) with immediate effect;
  • the Annual Fee is non-refundable; and
  • accrued Early Access cashback is forfeited.

After the Migration Date

The Member may terminate at any time after the Migration Data by written notice to KAST. Termination shall be effective at the end of the Member’s current annual paid term and the Member shall retain access to the membership benefits through the end of the paid term. In such circumstances the Annual Fee is non-refundable.

For Cause 

If KAST discontinues the Business Global Membership Plan entirely or materially reduces the core Services such that the Member can no longer reasonably use or obtain the key benefits of the Business Global Membership Plan, the Member may terminate immediately by written notice to KAST. In these circumstances the Member shall be entitled to receive a pro-rata refund of the Annual Fee for the unused portion of the current annual paid term. To confirm, if termination occurs prior to the Migration Date, then the Member will receive a full refund of the Annual Fee paid. The Member agrees that this is its sole and exclusive remedy.

9.2 Termination or suspension by KAST

KAST may suspend or terminate the Member's access to the Business Global Membership Plan on immediate written where:

  • required by applicable law, regulation, sanctions, or by any governmental or regulatory authority;
  • the Member commits a material breach of the KAST Agreements or these Plan Terms which is not capable of remedy, or where curable, is not remedied within 10 days of written notice of the breach by KAST;
  • the Member knowingly commits fraud, deception, or abuse in connection with the Member's account; or
  • KAST is unable to verify or re-verify the Member's KYB or beneficial-ownership information, despite KAST cooperation and good faith efforts in satisfying the KYB requirements.

Where termination by KAST under this clause 10.2 occurs during Early Access:

  • the annual fee paid is refunded in full; and
  • accrued Early Access cashback is forfeited.

For termination by KAST under this clause 10.2 occurs after the Migration Date:

  • the Annual Fee is non-refundable; and
  • accrued but unredeemed cashback may be forfeited.

10. Taxes

The Member is responsible for all taxes, levies, and withholdings arising from the Annual Fee, from any cashback received and any other payments in connection with the Business Global Membership Plan. The Member must seek independent tax advice. KAST does not provide tax advice or make any representations on tax consequences.

11. Changes to these Plan Terms

KAST may amend these Plan Terms at any time. Any material changes will be notified to the Member by email or in-app at least thirty (30) days before they take effect, except where a shorter period is required by law or for security, fraud, or compliance reasons. Continued participation in the Business Global Membership Plan after the effective date of an amendment shall constitute acceptance by the Member.

12. Confidentiality and publicity

The commercial terms of the Business Global Membership Plan (including the Annual Fee, any discount applied, and any side-letter arrangements) are deemed confidential to KAST. The Member agrees not to disclose this confidential information without KAST's prior written consent, except as required by law, regulation, or to professional advisers under a duty of confidence.

13. Governing law and disputes

The governing law, jurisdiction, and dispute resolution clauses of the Business T&Cs shall apply to these Plan Terms.

14. Survival

Clauses 6.3 (clawback), 10 (taxes), 12 (confidentiality), 13 (governing law), and this clause 14 survive termination of these Plan Terms.
